Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and EventZR ("we," "our," or "us") governing your access to and use of the EventZR platform, including our websites, mobile applications, APIs, WhatsApp integrations, and all related services (collectively, the "Platform"). Please read these Terms carefully before using the Platform.

1. Acceptance of Terms

By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, you must not use the Platform.

2. Service Description

EventZR is an AI-first, WhatsApp-first enterprise event management platform that provides:

• Event creation, management, and discovery tools with AI-powered recommendations
• Venue and destination booking with intelligent matching and availability management
• Ticketing, RSVP management, and attendee check-in systems
• AI-powered features including content generation (ZAR ensemble), conversational co-pilot (Cypher), and media studio
• WhatsApp-based event management, notifications, and attendee engagement
• Multi-tenant workspaces for teams and organizations with role-based access control
• Analytics, reporting, CRM, marketing campaign tools, and partner management capabilities
• API access for developers building integrations with the EventZR platform

We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time, with reasonable notice to affected users.

3. User Accounts

To access most features of the Platform, you must create an account. When creating and maintaining your account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials, including passwords and API keys
• Enable multi-factor authentication (MFA) when prompted, especially for administrative accounts
• Promptly notify us of any unauthorized access or security breach at security@eventzr.com
• Not share your account credentials or allow others to access your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms, remain inactive for more than 12 months, or are reasonably suspected of fraudulent activity.

4. Subscription Plans

EventZR offers tiered subscription plans: Base (free), Student, Startup, Pro, ProMax, Enterprise, and Custom. Each tier provides different levels of access to features, AI credits, storage, and support.

• Billing: Paid subscriptions are billed monthly or annually in advance. Prices are displayed in your local currency where available.
• AI Credits: Each tier includes a monthly allocation of AI credits. Additional credits may be purchased separately. Unused credits do not roll over unless specified in your plan.
• Upgrades and Downgrades: You may change your subscription tier at any time. Upgrades take effect immediately with pro-rated billing. Downgrades take effect at the end of the current billing cycle.
• Cancellation: You may cancel your subscription at any time through your account settings. Access continues until the end of the current billing period. No refunds are provided for partial billing periods.
• Free Tier: The Base (free) tier is subject to usage limitations and may display promotional content. We reserve the right to modify free tier features with 30 days notice.

5. Intellectual Property

The Platform, including its design, code, AI models, algorithms, trademarks, logos, and all associated intellectual property, is owned by EventZR and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms.

You may not copy, modify, distribute, reverse engineer, decompile, or create derivative works of the Platform or any of its components. The EventZR name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of EventZR. You may not use such marks without our prior written permission.

6. User Content

You retain ownership of all content you create, upload, or submit to the Platform ("User Content"), including event descriptions, images, videos, marketing materials, and documents. By submitting User Content, you grant EventZR a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of operating and improving the Platform.

You represent and warrant that:

• You own or have the necessary rights to submit your User Content
• Your content does not infringe the intellectual property rights of any third party
• Your content complies with all applicable laws and does not contain unlawful, defamatory, or harmful material
• AI-generated content created through our Platform may be used by you in accordance with your subscription tier, but you are responsible for reviewing and ensuring its accuracy and appropriateness

7. Prohibited Conduct

When using the Platform, you agree not to:

• Violate any applicable law, regulation, or third-party rights
• Create fraudulent events, listings, or bookings intended to deceive other users
• Attempt to access another user's account, data, or tenant workspace without authorization
• Use automated tools (bots, scrapers, crawlers) to access the Platform except through our official API with valid credentials
• Attempt to circumvent rate limits, quota restrictions, or subscription tier limitations
• Abuse AI features by submitting prompts designed to generate harmful, discriminatory, or illegal content
• Interfere with the Platform's infrastructure, security, or other users' experience
• Resell, sublicense, or commercially redistribute Platform access or AI-generated content beyond your subscription rights
• Use the Platform to send unsolicited bulk communications (spam) via WhatsApp, email, or SMS
• Misrepresent your identity, affiliation, or the purpose of your account

8. Third-Party Services

The Platform integrates with third-party services including payment processors (Stripe, PayPal), communication providers (WhatsApp Business API, Twilio), AI model providers (AWS Bedrock, Anthropic, OpenAI, Google), mapping services, and analytics tools. Your use of these integrations is subject to the respective third-party terms and privacy policies. EventZR is not responsible for the availability, accuracy, or practices of third-party services. We route all external integrations through our secure integration hub to maintain consistent security and monitoring.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. AI FEATURES, INCLUDING THE ZAR ENSEMBLE AND CYPHER CO-PILOT, GENERATE CONTENT BASED ON PROBABILISTIC MODELS AND MAY PRODUCE INACCURATE OR INCOMPLETE RESULTS. YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING ALL AI-GENERATED CONTENT BEFORE USE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVENTZR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO EVENTZR IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless EventZR and its officers, directors, employees, agents, and affiliates from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any law or third-party rights; or (e) events you organize or attend through the Platform, including disputes with attendees, venues, or service providers.

12. Termination

Either party may terminate this agreement at any time. You may terminate by deleting your account through the Platform settings or by contacting support. We may terminate or suspend your access immediately, without prior notice, if:

• You breach any provision of these Terms
• Your account is involved in fraudulent or illegal activity
• You fail to pay applicable subscription fees after reasonable notice
• Required by law or to protect the safety of our users

Upon termination, your right to access the Platform ceases immediately. We will retain your data for 90 days after termination, during which you may request data export. After 90 days, your data will be permanently deleted in accordance with our Privacy Policy.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles. For users in the European Union, nothing in these Terms affects your statutory rights under applicable EU consumer protection laws, including the GDPR. For users in the United States, the Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions below.

14. Dispute Resolution

We encourage you to contact us first at support@eventzr.com to resolve any disputes informally. If informal resolution is not possible within 30 days:

• Arbitration: Any dispute arising from these Terms shall be resolved through binding arbitration administered under the rules of the Indian Arbitration and Conciliation Act, 1996, or for international users, the ICC International Court of Arbitration
• Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions or collective proceedings, to the extent permitted by applicable law
• Exceptions: Either party may seek injunctive relief in a court of competent jurisdiction for claims involving intellectual property infringement or data security breaches
